Summary:

The ideal candidate will have a strong background in global commercial contract work and will support the global remit of the Corporate Legal group across a range of transactions. Whilst the focus is commercial operations deals, the role will require working in other areas supported by Corporate Legal, including business development projects.

Typical Accountabilities:


  • Delivering commercial legal advice and services across Corporate Legal, with a primary focus on Global Operations and supply chain agreements to support new product launches and increased commercial demand.
  • Giving guidance on complex and high value global contracts, including supporting negotiations and contract drafting.
  • Advising on and negotiating a wide range of contracts, disputes, and contract interpretation, adopting a pragmatic and risk based approach to contracting.
  • Providing strategic advice to senior stakeholders, including SET / SET-1.
  • Counsel on corporate transactions, which might include licensing arrangements, collaboration agreements, acquisitions, and divestments.
  • Proactively driving contract capability uplift across Global Operations and Global Procurement Services, including training, guidance and implementing standard processes relating to contracts and negotiations.
  • Collaborating with the Global Legal group, including the intellectual property group, ensuring a consistent approach to contracting and mitigating legal risks to ensure a seamless service to stakeholders.
  • Supporting the delivery of appropriate level of service from external counsel, including aggressively managing costs on matters for which external counsel is retained.
  • Handling special projects, for example, to increase efficiencies.


Essential Skills/Experience:


  • Bachelor of Laws (LL.B.) or a Juris Doctor (J.D.)
  • Member in good standing with the Law Society of Ontario (must retain status)
  • 5+ years of legal practice experience, particularly in commercial law and manufacturing and supply chain agreements
  • Experience and comfort advising on US contracts
  • Experience working in a global legal environment
  • Excellent interpersonal and communication skills to explain complex legal issues in an easy to understand manner
  • Business oriented and pragmatic approach to problem solving
  • Skill in analyzing and solving issues related to a wide variety of substantive legal areas


Preferred Skills/Experience:


  • Pharmaceutical or other regulated industry experience highly desirable
  • Experience working with the following:
    • in-house in a multinational company
    • technology and/or energy transactions /projects
    • supporting CMO deals (contract manufacturing organizations)
    • supporting a Global Procurement organization
    • English law contracts and common law jurisdictions
